Position Overview
As Deputy General Counsel, you will be at the forefront of groundbreaking projects that drive the clean energy transition. In this dynamic role, you’ll leverage your expertise in project finance and project development to provide strategic legal counsel and guide high-impact transactions for our growing portfolio of renewable energy projects. Partnering with cross-functional teams and external stakeholders, you will navigate complex deals, mitigate risks, and contribute to transformative initiatives that redefine the energy industry. Key Responsibilities:
- Negotiate and draft complex financing agreements, including debt facilities, tax equity structures, and other project finance-related documents. Collaborate with lenders, tax equity investors, and internal teams to ensure successful financial closings. Advise on compliance with financial covenants and regulatory requirements.
- Provide legal support for project development activities, including permitting, interconnection, and land acquisition agreements. Draft, review, and negotiate EPC, PPA, and other project development-related contracts.
- Ensure alignment with federal, state, and local regulatory frameworks.
- Oversee legal aspects of project acquisitions and divestitures, including drafting term sheets, purchase agreements, and conducting due diligence.
- Coordinate with legal teams, external counsel, and stakeholders to ensure smooth transaction closings.
- Proactively identify and mitigate potential risks in transactions.
- Provide strategic legal advice to senior management and cross-functional teams on renewable energy matters, helping to drive the company’s goals and objectives.
- Manage relationships with external legal counsel and ensure efficient handling of complex legal issues.
Qualifications:
- Juris Doctor (JD) from an accredited law school and admission to a U.S. state bar.
- 4+ years of legal experience, with a strong focus on renewable energy project finance or project development transactions.
- Experience working in-house within a renewable energy company or at a law firm specializing in energy transactions is required.
- Deep understanding of energy markets, regulatory frameworks, and the unique challenges of renewable energy projects.
- Proven ability to negotiate complex agreements and manage multifaceted transactions.
- Excellent analytical, communication, and leadership skills.
